License agreement for PERCo software

READ THIS LICENSE AGREEMENT VERY CAREFULLY!

This is a license agreement (the «License») between You (either an individual person or a single legal entity, who will be referred to as «You») and the PERCo company, the owner of the software, for the above-identified access control systems (the «System») software product, including any associated media, printed materials and electronic documentation (the «Software Product»).

By installing and copying the Software Product You accept and agree to the terms of this License.

If You do not accept the terms of this License, You are not entitled to use this Software Product.

SOFTWARE PRODUCT LICENSE

This Software Product is protected by international copyright laws and all other applicable intellectual property laws and treaty provisions. The Software Product is licensed, not sold.

GRANT OF LICENSE

This Section of the License describes Your license rights to install and use the Software Product.

• Usage

  The License allows You to use this Software Product for running the System at one or several locations, which are in Your property, lease, etc.

  You have the right to use as many copies of this Software Product on a single or several computers, operated by users or user groups, at locations that are in Your property, lease, etc.

• Copying

  You may keep the original media, on which PERCo has given You the Software Product, solely for the purpose of archiving and back-up.

  It is strictly forbidden to copy this Software Product for the purpose of transfer and selling it to other persons.

  It is allowed to copy the enclosed documentation only by users and user groups, who are entitled to apply this Software Product for operating the System under the License.

• Distribution

  It is strictly forbidden to distribute the Software Product to a third party, which is not entitled to use this Software Product under this License.

• Leasing

  You must not lease the Software Product to a third party.

• Limitations on Reverse Engineering, Decompilation, and Disassembly

  You must not modify, adapt, disassemble, decompile, reverse engineer, translate or otherwise attempt to discover the source code of the Software Product except when such activities are permitted by current legislation.

• Trademarks

  You may not use any proprietary trademarks, tradenames, copyright symbols or other logos of the PERCo company.

• License Termination

  If You fail to comply with any terms and conditions hereof, PERCo is entitled to terminate this License. Upon termination of the License You are required to destroy all the copies and components of the Software Product.

COPYRIGHT

All the related copyrights, industrial and intellectual property rights in and to the Software Product (including but not limited to any images, stencils, templates, photographs, animations, video, audio, music, text, «applets» incorporated into the Software Product, as well as the accompanying printed materials and any copies of the Software Product) are owned by PERCo. The Software Product copyrights are protected by international copyright laws and all other applicable national laws and treaty provisions. This Software Product should be considered as a copyright object except that the original media can be preserved, provided that it is used for the purpose of archiving and back-up.

LIMITATION OF LIABILITY

This Software Product is provided by PERCo «as is» and any express or implied warranties, including, but not limited to, the implied warranties of merchantability, of satisfactory quality, and fitness for a particular purpose or use are disclaimed.

PERCo shall have no liability to licensee or other persons for direct, indirect, special, incidental, consequential, exemplary, or punitive damages of any character including, without limitation, procurement of substitute goods or services, loss of use, data or profits, or business interruption, however caused and on any theory of contract, warranty, tort (including negligence), product liability or otherwise, arising in any way out of the use of this Software Product, even if advised of the possibility of such damages.
